Founders’ sale of 100% shares

The law firm Cavadini Steger Gianinazzi Maffi advised the founding partners of a company based in Basel (Switzerland) – which provides services in the pharmaceutical and healthcare sectors – on the sale of 100% of the shares in the company and in its French subsidiary to a multinational group based in Italy.

Our firm (with a team comprising Mauro Cavadini and Valentino Poltera, MLaw) provided assistance in the drafting and negotiation of the sale and purchase agreement and of several ancillary contracts, such as new employment contracts under Swiss law, as well as in the preparation of all corporate governance documents at Closing, whilst also coordinating the involvement of an external tax consultancy firm to advise on the tax treatment of the sellers.

Generational handover a leading company of Ticino

The law firm Studio Legale Cavadini Steger Gianinazzi Maffi provided legal and notarial services to shape the transition to the next generation of a leading Ticino-based company active internationally in the processing of high-tech raw materials. Our services included the structuring of the transaction from both perspectives of the corporate and the inheritance law, as well as the drafting of the relevant contracts, shareholders' agreements, inheritance agreements and all the deeds relating to the new governance of the group. Finally, we provided appropriate solutions to regulate certain aspects of labour law.

Our legal and notary team was led by Pamela Gianinazzi, assisted by Mauro Cavadini for the corporate law and governance aspects and by Samuel Maffi for the labour law aspects.

M&A transaction of Dick & Figli SA

The law firm Cavadini Steger Gianinazzi Maffi provided contractual and corporate assistance to the selling party in the context of the M&A transaction (management buy-out) of Dick & Figli SA, a company founded in 1971 and a leading supplier of office and home furnishing solutions in the Canton of Ticino.

Revision of the Swiss company law

At the beginning of 2023 a revision of company law will be implemented in the Swiss Code of Obligations, making it more flexible and up to date with technology.
This revision mainly involves the following changes:

• The possibility to hold the general meetings virtually (e.g. via Teams, Zoom, etc.);
• The Board of directors has now the competence to change the share capital within a predetermined fluctuation margin ;
• The opportunity to set the share capital in a foreign currency.

The companies who need to adapt their articles of association during 2022 may also insert the new provisions from now on, in spite of the fact that the new law regulations will become effective as of 01.01.2023 only.
