Founders' sale of 100% shares
The law firm Cavadini Steger Gianinazzi Maffi advised the founding partners of a company based in Basel (Switzerland) – which provides services in the pharmaceutical and healthcare sectors – on the sale of 100% of the shares in the company and in its French subsidiary to a multinational group based in Italy.
Our firm (with a team comprising Mauro Cavadini and Valentino Poltera, MLaw) provided assistance in the drafting and negotiation of the sale and purchase agreement and of several ancillary contracts, such as new employment contracts under Swiss law, as well as in the preparation of all corporate governance documents at Closing, whilst also coordinating the involvement of an external tax consultancy firm to advise on the tax treatment of the sellers.
